Judge narrows Lehman $8.6 billion lawsuit vs. JPMorgan

By Jonathan Stempel

(Reuters) - A federal judge has narrowed Lehman Brothers Holdings Inc's $8.6 billion lawsuit against JPMorgan Chase & Co , potentially reducing how much creditors of what was once the fourth-largest U.S. investment bank may ultimately recover.

U.S. Bankruptcy Judge James Peck in Manhattan said Lehman may not recover various sums transferred to JPMorgan, once its main "clearing" bank handling third-party dealings, in August and September 2008.

Peck cited "safe harbor" rules designed to protect healthier banks such as JPMorgan in their dealings with weaker banks.

"These are systemically significant transactions between sophisticated financial players at a time of financial distress in the markets -- in other words, the precise setting for which the safe harbors were intended," Peck wrote on Thursday in a 92-page decision.

Peck let stand other Lehman claims, saying safe harbors do not let "systemically important" banks such as JPMorgan, the largest U.S. bank, act in a "commercially unreasonable" manner. He said Lehman may pursue claims involving intentional misconduct or which are not otherwise covered by safe harbors.

Lehman filed for Chapter 11 protection on September 15, 2008, in what was a primary driver of the global financial crisis and remains by far the largest U.S. bankruptcy.

"JPMorgan grabbed assets for itself at a critical time in its banking relationship with Lehman," Peck wrote. "The issues presented are especially difficult ones that one day may help to define what constitutes acceptable conduct by major financial institutions during times of crisis."

Kimberly MacLeod, a Lehman spokeswoman, declined to comment. JPMorgan spokeswoman Jennifer Zuccarelli was not immediately available for comment. Both companies are based in New York.

Lehman accused JPMorgan of taking advantage of inside details it had learned as a clearing bank to extract desperately needed assets in the last few days prior to, and thus hastening, the bankruptcy.

JPMorgan countersued, saying it feared it might never be repaid after lending Lehman's brokerage more than $70 billion around the time of the bankruptcy, and getting stuck with collateral that Lehman's own employees called "toxic waste.

In September 2011, JPMorgan sought to move the Lehman case to federal district court, saying it involved issues that Peck lacks jurisdiction to handle. U.S. District Judge Richard Sullivan in Manhattan has yet to rule on JPMorgan's request.

Lehman emerged from Chapter 11 last month. On April 11, it said it planned to make an initial $22.5 billion distribution to creditors this week.

The case is Lehman Brothers Holdings Inc et al v. JPMorgan Chase Bank NA, U.S. Bankruptcy Court, Southern District of New York, No. 10-ap-03266.

Judge dismisses claims against banks in GE lawsuit

By Nick Brown

NEW YORK (Reuters) - A federal judge on Wednesday dismissed claims against Goldman Sachs Group Inc , JPMorgan Chase & Co and 40 other defendants that they helped mislead investors in General Electric Co's $12.2 billion stock offering in 2008.

U.S. District Judge Denise Cote, who took over the case in February, said a January ruling denying the defendants' bid to dismiss claims failed to consider key court rulings and improperly relied on certain statements.

Cote's ruling does not entirely dismiss the class action lawsuit filed by GE investors, keeping intact claims that GE and its chief financial officer, Keith Sherin, made misleading statements about the quality of the company's loan portfolio.

The State Universities Retirement System of Illinois, the lead plaintiff, filed the lawsuit in 2009, saying GE and myriad financial firms were responsible for investor losses during a six-month period when GE's stock price fell to about $10 from about $26.

The plaintiffs alleged that GE withheld information regarding its health and the health of its GE Capital finance arm, including exposures to subprime and other low-quality loans. They also said GE misleadingly touted itself as being safer than rivals, despite the effects of the financial crisis.

Among those dismissed from the lawsuit on Wednesday are Barclays PLC , Citigroup and Bank of America Corp .

"The January opinion improperly relied on statements that were not incorporated into the offering documents, and on statements that were modified and superseded by later statements," Cote said.

It also failed to take into account a court ruling that had established rules on whether stated opinions could be grounds for a lawsuit, Cote said.

Attorneys for the dismissed defendants did not respond to requests for comment. Lawyers for the plaintiffs could not immediately be reached.

A GE spokesman did not respond to an email seeking comment.

The case is In re: General Electric Co Securities Litigation, U.S. District Court, Southern District of New York, No. 09-01951.

AT&T, rivals delay legal fights over T-Mobile

(Reuters) - AT&T Inc and Sprint Nextel Corp asked a U.S. court on Tuesday to delay hearings in their private litigation over whether the telecommunications giant can buy T-Mobile USA, and the judge promptly agreed.

The request was similar to one that AT&T and the Justice Department made on Monday regarding the government's antitrust suit, which U.S. District Judge Ellen Huvelle also promptly signed.

An identical request was agreed in a case against AT&T brought by small regional phone company C Spire Wireless.

AT&T's agreement to delays in the cases, after previously insisting on expediting them to prevent Deutsche Telekom AG's T-Mobile USA from deteriorating in limbo, have led to pessimism that the $39 billion deal will be completed.

AT&T has also set aside $4 billion in reserves for what could eventually be a $6 billion deal breakup payment to T-Mobile.

AT&T and Sprint asked for the next hearing in the case to be January 18, at 2 p.m. EST (1900 GMT), the same time as the next hearing in the Justice Department's case against AT&T.

Huvelle has ordered AT&T and T-Mobile USA to tell the court by noon on January 12 whether they plan to continue to pursue their agreed deal or an amended one and to give an update on their plans for seeking necessary approval from the U.S. Federal Communications Commission.

Both the Justice Department and the FCC have objected to the deal on the grounds that it would hurt competition in the U.S. wireless market. The purchase of No. 4 U.S. mobile operator T-Mobile USA would vault No. 2-ranked AT&T into first place in the U.S. market.

The cases before the court are USA v. AT&T, T-Mobile USA Inc and Deutsche Telekom AG, case No. 11-1560; Sprint Nextel Corp v. AT&T Inc et al, No. 11-1600 and Cellular South (C Spire) v. AT&T, No. 11-1690. All are before the U.S. District Court for the District of Columbia.

Judge sets February 13 date for AT&T antitrust trial

By Jeremy Pelofsky and Jasmin Melvin

WASHINGTON (Reuters) - A U.S. judge set a February 13 start for a trial over whether AT&T Inc can buy rival T-Mobile USA, a compromise between the companies' desire for a quick resolution and the Justice Department's request for more time to prepare its case.

U.S. District Judge Ellen Huvelle on Wednesday set aside up to six weeks for the trial in response to the Obama administration's antitrust lawsuit against the deal. She will preside without a jury, as is typical for such cases.

There was no discussion of any settlement to avoid trial during the 80-minute preliminary hearing.

The Justice Department sued last month to block AT&T's $39 billion purchase of T-Mobile, owned by Deutsche Telekom AG, arguing it would raise prices for consumers and hamper competition and innovation.

A key government concern is that T-Mobile, the No. 4 wireless carrier, generally costs less than other carriers so its disappearance could mean higher prices for wireless service.

AT&T, the No. 2 wireless carrier, has defended the transaction, saying it would bring 5,000 overseas jobs back to the United States and enable it to expand high-speed wireless Internet coverage to 97 percent of all Americans.

The trial date falls between the government's request to begin March 19 and AT&T's petition for a January 16 date. Lawyers for the parties said the matter was unlikely to need six weeks to present evidence or witnesses.

Mark Hansen, one of AT&T's lawyers, had pressed the judge for a quick trial to provide certainty to the companies and the market, saying they were "already months beyond where we want to be."

AT&T and T-Mobile could find it difficult to hold the deal together through a long proceeding and investors' patience could wane. The combined companies would leapfrog Verizon Wireless, a venture of Verizon Communications Inc and Vodafone Group Plc, into the No. 1 wireless spot.

Even with an expedited trial, and if the companies lose before Huvelle, an appeals process could stretch into 2013, said Evan Stewart, an antitrust expert with law firm Zuckerman Spaeder LLP. The government could also appeal if it lost.

"The sooner this gets done, the better it is from AT&T's perspective," said Stewart. "All those uncertainties change your business model which affect your bottom line, which is bad news."

Verizon said it will not get involved in the fight at this stage but Chief Executive Lowell McAdam said the U.S. government needs to find ways to make more airwaves available.

"If the government wants to stop a merger like that they need to step up and say this is how we're going to get spectrum in the hands of people who can use it," he said at a Goldman Sachs investor conference in New York.

NO MOVEMENT Toward SETTLEMENT

AT&T has said it is keenly interested in reaching a settlement that would lead to Justice Department approval, and has expressed confidence that the deal can go forward.

Since the lawsuit was filed, there has been no movement toward reaching a settlement and the deal would have to be substantially restructured in order to appease antitrust enforcers, one source close to the case said this week.

"We are hopeful that we can reach a solution with the Department of Justice that addresses their concerns, but if not, we will be well prepared for trial," said AT&T spokesman Michael Balmoris.

If the deal is abandoned, AT&T is facing paying upward of $6 billion in cash and spectrum to T-Mobile.

The scheduling hearing was dominated by a related suit filed by No. 3 wireless carrier Sprint Nextel. Huvelle declined to consolidate the cases and set an October 24 date for arguments over AT&T's planned motion to dismiss.

The judge said she planned to decide whether Sprint had the right to sue or not "as swiftly as possible."

Seven states have joined the Obama administration's challenge to the deal, but on Wednesday, 10 other state attorneys general urged that a settlement be reached so the deal could go forward.

The case is USA v. AT&T, T-Mobile USA Inc and Deutsche Telekom AG, U.S. District Court for the District of Columbia, case No. 11-1560.

U.S. judge sets February 13 for AT&T antitrust trial

By Jeremy Pelofsky and Jasmin Melvin

WASHINGTON (Reuters) - A U.S. judge set a February 13 start for a trial over whether AT&T Inc can buy rival T-Mobile USA despite competitive concerns raised in a lawsuit by the Obama administration's Justice Department.

U.S. District Judge Ellen Huvelle set aside 6 weeks for the non-jury trial. There was no discussion during the 80-minute scheduling hearing of any settlement of the case.

The Justice Department sued last month to block AT&T's $39 billion purchase of T-Mobile, owned by Deutsche Telekom , for fear it would raise prices for consumers and hamper competition and innovation.

The trial date falls between the government's request to begin March 19 and AT&T's petition for a January 16 date. Lawyers for the parties said the matter was unlikely to need six weeks.

Mark Hansen, one of AT&T's lawyers, had pressed the judge for a quick trial to provide certainty to the companies and the market, saying they were "already months beyond where we want to be."

The deal would combine the No. 2 and No. 4 wireless carriers. The companies could find it difficult to hold the deal together through a long proceeding and investors' patience could wane.

The ceremonial courtroom of the U.S. District Court for the District of Columbia was used for the scheduling hearing. The bigger space was needed to accommodate the large legal teams involved in the case.

Sprint Nextel , the No. 3 wireless carrier, has sued separately to block the deal, but Huvelle refused to consolidate the cases and set an October 24 date for arguments over AT&T's planned motion to dismiss that case. She said she planned to decide that issue "as swiftly as possible."

The case is USA v. AT&T, T-Mobile USA Inc and Deutsche Telekom AG, No. 11-1560.

Judge narrows benchmark Fosamax case vs. Merck

By Jonathan Stempel

NEW YORK (Reuters) - A federal judge on Tuesday threw out part of a bellwether lawsuit against Merck & Co over claims that its osteoporosis drug Fosamax causes jaw damage.

The plaintiff, Linda Secrest, may pursue her claim that Fosamax suffered from a design defect and caused her jawbone tissue to die, a condition known as osteonecrosis of the jaw, or ONJ, District Judge John Keenan wrote.

But the judge said Secrest, a former United Airlines flight attendant living in Florida, cannot pursue punitive damages or her claim that Merck failed to warn of possible problems with Fosamax, saying no reasonable jury could rule in her favor.

The lawsuit is the fourth bellwether case over Fosamax, which generated billions of dollars in annual sales for Merck before the Whitehouse Station, New Jersey-based company lost U.S. patent protection in 2008, allowing generic sales.

Results of bellwether cases may foreshadow the potential outcomes of other, similar lawsuits.

Merck has said it faced roughly 1,650 Fosamax-related cases in various courts as of June 30, including 910 before Keenan.

It won two of the earlier bellwether trials, while a jury ordered it to pay $8 million to the plaintiff in the third case.

Keenan later reduced that payout to $1.5 million, prompting the plaintiff, Shirley Boles, to request a new trial on damages. Merck appealed a separate legal issue to the federal appeals court in New York.

Timothy O'Brien, a lawyer representing Secrest and Boles, said in an email that the same claims were dismissed in both cases, and that the $8 million Boles verdict was based solely on a defective design claim.

Merck spokesman Ron Rogers said: "We are satisfied with today's ruling, and we will vigorously defend the company on the remaining claim."

Secrest had claimed her use of Fosamax from 1998 to 2005 caused her to develop ONJ, and that she also suffered other injuries in her jaw and oral cavity.

In his 42-page decision, Keenan said there was no evidence that Secrest's prescribing doctor would have told her to stop using Fosamax in 2004 and 2005, at the time of her alleged injury, had Merck included a warning on its label.

The judge also said punitive damages were inappropriate because no reasonable jury could conclude that Merck breached any legal duty either intentionally or with a "conscious disregard or indifference" to its customers' health.

Merck's sales of Fosamax fell to $926 million in 2010 from $3.05 billion in 2007, prior to the start of generic sales.

The case is Secrest v. Merck & Co, U.S. District Court, Southern District of New York, No. 06-6292. The main case is In re: Fosamax Products Liability Litigation in the same court, No. 06-md-1789.
